Terms of Service

1. Agreement to Terms

By accessing or using the Zynoviq ProfitGuard Enterprise License Management Platform (“Service”), operated by Zynoviq Solutions Private Limited (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Zynoviq ProfitGuard provides an enterprise-grade AI-powered profit intelligence and fraud prevention platform, including:

• License management and distribution services
• SAP S/4HANA native plugin access and configuration
• AI/ML analytics and fraud detection capabilities
• Compliance monitoring and reporting tools
• Real-time enterprise data integration services
• Customer portal, admin portal, and API access

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or breach
• Ensuring your contact and company information remains up to date

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. License and Permitted Use

Subject to your subscription plan and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not:

• Sublicense, resell, or distribute access to the Service without written authorization
• Reverse engineer, decompile, or disassemble any component of the Service
• Use the Service to develop competing products or services
• Remove or alter any proprietary notices, labels, or marks
• Use the Service in violation of applicable laws or regulations
• Exceed the usage limits specified in your subscription plan

5. Subscription and Payment

Access to the Service requires a paid subscription (or an active trial license). By subscribing, you agree to:

• Pay all applicable fees as described in your selected plan
• Automatic renewal at the end of each billing period unless cancelled
• Responsibility for all taxes applicable to your purchases

We reserve the right to modify pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Data and Confidentiality

We treat all customer data as confidential. Your enterprise data processed through the Service is:

• Processed solely to provide and improve the Service
• Protected under AES-256 encryption at rest and TLS 1.3 in transit
• Not sold or shared with third parties except as described in our Privacy Policy
• Subject to our data retention policies and your right to deletion

You retain all rights to your enterprise data. We claim no ownership over data you submit through the Service.

7. Intellectual Property

The Service, including all software, algorithms, AI/ML models, documentation, and visual design, is and remains the exclusive intellectual property of Zynoviq Solutions Private Limited. These Terms do not grant you any rights to our trademarks, service marks, or logos.

8. Uptime and Service Availability

We target 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party API failures, or force majeure events.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNOVIQ SOLUTIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination, your license to use the Service ends and we will provide you with an export of your data within 30 days upon request.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India. For enterprise customers in other jurisdictions, specific governing law provisions may apply as set forth in your enterprise agreement.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 30 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
